In order to establish a company in Poland, the following are necessary:

  • Proof of identity (passport or ID card) – for private individuals
  • An extract from the relevant register indicating the persons authorized to represent the corporation
  • A qualified electronic signature held by each partner and the management board, or the issuance of a power of attorney for our company – in the case of foreign nationals.

How much does it cost to register a company—what do the costs consist of?

The costs of registering a company consist of several components and depend on the registration method chosen. The cheapest option is registration in S24 with a minimum capital of PLN 5,000. In this case, the price is from PLN 1,000, including the KRS fee of PLN 350.


Costs increase if:

  • the articles of association require legal consultation; prices depend on the law firm's rates and the time needed to draft the agreement
  • the articles of association are concluded in the presence of a notary public; the cost depends on the number of copies and the number of pages of the agreement itself; in the case of partners who do not speak Polish, the presence of a sworn translator is required
  • the share capital is higher than the minimum; the higher the capital, the higher the tax on civil law transactions, which amounts to 0.5%
  • The application is submitted via KRS e-forms on the Court Register Portal. In 2025, the fee is PLN 600.
    If the partners and management board are foreigners, the additional cost of obtaining a Polish PESEL number and qualified electronic signatures must be taken into account.

What is the National Court Register (KRS) and what does a company entry look like?

The National Court Register is a public register of entrepreneurs. A company is established upon entry into the National Court Register; it is assigned a National Court Register number, tax identification number, and statistical number. The National Court Register discloses, among other things, the company name, registered office, Polish Classification of Activities, and management composition.

Can a limited liability company have only one shareholder?

Yes. A limited liability company may be a single-member company; this requires several separate corporate formalities (e.g., a statement by the sole shareholder).

Can a company be registered remotely, without being physically present in Poland?

Yes, in S24 mode using a Trusted Profile or qualified signature; alternatively, a power of attorney and registration with a notary public.

What type of signature is required to register a company (trusted profile or qualified signature)?

In S24, each signatory uses a Trusted Profile or a qualified signature. In the case of a notarial deed, signatures are affixed at the notary's office; further applications are submitted electronically.

When can I issue my first invoice—can a company in the process of being formed operate?

A company in the process of being established comes into being upon signing the agreement and may incur liabilities; however, practical invoicing is planned only after registration with the Tax Office, especially if the company is to be a VAT payer.

What is a contribution in kind in a limited liability company and how do you make one?

A contribution in kind is a non-monetary contribution that may be made by partners in exchange for shares in the company. It may be, for example, real estate, machinery, a license, or other assets.
